Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Forge regarding your access to and use of the Forge ownership operating system platform, including any associated software, websites, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Forge. By using the Services, you represent and warrant that:

• You meet all eligibility requirements
• You will comply with these Terms and all applicable laws
• You have not been previously suspended or removed from the Services
• You are not located in a country subject to U.S. government embargo or designated as a terrorist-supporting country

3. Accounts and Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or contractual obligation
• Infringe intellectual property rights or other proprietary rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Scrape, crawl, or systematically collect data without authorization
• Impersonate any person or entity or misrepresent your affiliation
• Use the Services for any illegal, fraudulent, or unauthorized purpose

5. Ownership and Intellectual Property

Forge and its licensors retain all rights, title, and interest in and to the Services, including all software, code, designs, trademarks, and intellectual property. These Terms do not grant you any ownership interest in the Services.

You retain all rights to the data, content, and materials you submit to the Services (“Your Content”). By submitting Your Content, you grant Forge a limited, non-exclusive, worldwide license to use, host, and process Your Content solely for the purpose of providing and improving the Services.

6. Confidentiality

You acknowledge that the Services may contain confidential and proprietary information of Forge. You agree to maintain the confidentiality of such information and not disclose it to any third party without Forge’s prior written consent.

Forge agrees to treat Your Content as confidential and will not disclose it to third parties except as necessary to provide the Services, with your consent, or as required by law.

7. Data Accuracy and Financial Information

Forge provides tools for tracking ownership, cap tables, vesting schedules, and related financial data. You are solely responsible for the accuracy and completeness of the data you input. Forge does not provide legal, tax, or financial advice. Always consult qualified professionals before making decisions based on information in the Services.

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

8. Fees and Payment

Certain features of the Services may require payment of fees. All fees are exclusive of taxes, which are your responsibility. Fees are non-refundable except as required by law or as explicitly stated in a written agreement.

We reserve the right to change our fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

9. Termination

You may terminate your account at any time by contacting support. Forge may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, all licenses and rights granted to you under these Terms will cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICES.

IN NO EVENT SHALL FORGE’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO FORGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Forge and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your access to or use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or platform notifications. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
